Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and PolyBlock Limited (“PolyBlock,” “we,” “us,” or “our”), a company registered in England and Wales (Company No. 15080139), governing access to and use of PolyBlock’s website, unified blockchain access API, software, SDKs, sandbox environments, documentation, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you enter into these Terms on behalf of a legal entity, you represent and warrant that you have authority to bind that entity.

1. Definitions

For purposes of these Terms:

  • “API” means the PolyBlock unified blockchain access application programming interface.
  • “Authorized Users” means employees, contractors, or agents authorized by Customer to access the Services.
  • “Customer Application” means any software, platform, or system developed or operated by Customer that integrates with the Services.
  • “Documentation” means technical materials, integration guides, and specifications made available by PolyBlock.
  • “Order Form” means any ordering document, proposal, or agreement specifying commercial terms.
  • “Supported Blockchain” means any blockchain protocol supported by PolyBlock at a given time.
  • “User Data” means requests, transaction instructions, metadata, API calls, credentials, keys, and other data transmitted via the Services.

2. Scope of Services

2.1 Service Overview

PolyBlock provides a unified abstraction layer that enables Customers to interact with multiple Supported Blockchains through a standardized API interface. The Services may include:

  • Transaction routing and execution
  • Multi-chain orchestration
  • Blockchain protocol translation
  • Monitoring and reliability tooling
  • Sandbox and testing environments
  • Developer tools and SDKs

2.2 No Custody or Asset Control

PolyBlock does not custody digital assets, hold private keys, operate validator nodes on behalf of Customers, or exercise control over blockchain consensus mechanisms.

2.3 Evolving Services

PolyBlock may enhance, modify, or discontinue features of the Services. We may add or remove Supported Blockchains at our discretion.

3. Account Registration and Access Control

3.1 Account Creation

Access to certain Services requires registration. Customer agrees to provide accurate and complete information and keep such information updated.

3.2 Security Responsibilities

Customer is solely responsible for:

  • Safeguarding API keys and credentials
  • Implementing internal access controls
  • Monitoring Authorized User activity
  • Promptly notifying PolyBlock of suspected unauthorized access

PolyBlock is not responsible for losses resulting from compromised credentials unless caused by our breach of these Terms.

3.3 Suspension for Security Risks

PolyBlock may suspend access if we reasonably believe the Services are being used in a manner that poses a security, regulatory, or operational risk.

4. License Grant and Restrictions

4.1 License

Subject to compliance with these Terms, PolyBlock grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for internal business purposes.

4.2 Restrictions

Customer shall not:

  • Reverse engineer, decompile, or disassemble the Services
  • Attempt to extract source code or proprietary algorithms
  • Circumvent technical limitations, rate limits, or security controls
  • Use the Services to build a competing product
  • Resell or sublicense the Services without written authorization

5. Acceptable Use and Regulatory Compliance

Customer agrees to use the Services only in compliance with applicable laws and regulations, including but not limited to:

  • Anti-money laundering (AML) laws
  • Counter-terrorist financing laws
  • Sanctions regulations
  • Securities and financial services regulations
  • Export control laws

Customer is solely responsible for determining whether its activities require licenses or regulatory approvals.

PolyBlock may monitor usage for compliance and risk management purposes.

6. Blockchain-Specific Risks

Customer acknowledges the inherent risks associated with blockchain networks, including:

  • Irreversible transactions
  • Protocol upgrades and hard forks
  • Network congestion and latency
  • Smart contract vulnerabilities
  • Validator or miner misconduct
  • Digital asset volatility

PolyBlock is not liable for losses arising from blockchain protocol behavior, consensus failures, or external attacks.

7. Fees and Payment Terms

7.1 Fees

Fees are defined in an applicable Order Form. Unless otherwise stated:

  • Fees are denominated in GBP
  • Invoices are due within thirty (10) days
  • Fees are non-refundable

7.2 Taxes

Customer is responsible for all applicable taxes, excluding taxes based on PolyBlock’s net income.

7.3 Suspension for Non-Payment

PolyBlock may suspend Services for overdue amounts after reasonable notice.

8. Service Levels and Availability

8.1 Availability

The Services are provided on an “as available” and “as is” basis.

8.2 SLA

Any uptime commitments apply only if explicitly stated in a separate Service Level Agreement.

8.3 Maintenance

PolyBlock may conduct scheduled or emergency maintenance.

9. Intellectual Property Rights

9.1 Ownership

All intellectual property rights in the Services remain the exclusive property of PolyBlock.

9.2 Feedback

Customer grants PolyBlock a perpetual, irrevocable, royalty-free license to use feedback or suggestions for product improvement.

9.3 Customer Data Ownership

Customer retains all rights in User Data. Customer grants PolyBlock a limited license to process User Data to provide the Services.

10. Data Protection

PolyBlock processes personal data in accordance with applicable data protection laws, including the UK GDPR.

Where required, the parties shall enter into a Data Processing Agreement. Customer is responsible for ensuring lawful grounds for processing personal data transmitted through the Services.

11. Confidentiality

Each party agrees to:

  • Protect confidential information using reasonable safeguards
  • Use confidential information solely for purposes of the Services
  • Not disclose confidential information except as required by law

Confidentiality obligations survive termination for five (5) years.

12. Warranties Disclaimer

To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

PolyBlock does not warrant that blockchain transactions will be successful, timely, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law:

  • PolyBlock shall not be liable for indirect, incidental, consequential, or punitive damages
  • PolyBlock’s total aggregate liability shall not exceed the fees paid by Customer in the twelve (12) months preceding the claim

Nothing excludes liability for fraud, willful misconduct, or liabilities that cannot be limited under law.

14. Indemnification

Customer shall indemnify and hold harmless PolyBlock and its officers, employees, and affiliates against claims arising from:

  • Customer’s use of the Services
  • Customer’s violation of law
  • Customer Application defects
  • Misuse of blockchain networks

15. Term and Termination

15.1 Term

These Terms remain effective while Customer uses the Services.

15.2 Termination

Either party may terminate for material breach if not cured within thirty (30) days of notice.

PolyBlock may immediately suspend or terminate access for regulatory, legal, or security reasons.

15.3 Effect of Termination

Upon termination:

  • Access rights cease immediately
  • Outstanding fees become due
  • Certain provisions survive termination

16. Export Controls and Sanctions

Customer represents that it is not subject to sanctions or located in restricted jurisdictions and agrees to comply with all export control laws.

17. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, cyberattacks, governmental actions, or blockchain protocol disruptions.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

19. Assignment

Customer may not assign these Terms without prior written consent. PolyBlock may assign in connection with merger, acquisition, or corporate restructuring.

20. Entire Agreement

These Terms, together with any Order Form and referenced policies, constitute the entire agreement and supersede prior agreements.
